Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of the ReforgeData platform, including the website located at https://reforgedata.com, the web application hosted at https://app.reforgedata.com, and all related software, APIs, and services (collectively, the "Services").

The Services are operated by Golden Routes LLC, doing business as ReforgeData LLC ("ReforgeData," "Company," "we," "us," or "our").

By creating an account, accessing, or using the Services, you ("Customer," "you," or "your") agree to be bound by these Terms. If you do not agree, you may not use the Services.

2. Description of Services

ReforgeData provides a marketing customer relationship management (CRM) platform that enables Customers to manage contacts and send communications via email, SMS, MMS, and related messaging channels.

ReforgeData is a technology platform provider only and does not provide legal, regulatory, or compliance advice. Use of the Services does not guarantee compliance with any law or regulation.

3. Eligibility and Account Registration

You represent and warrant that:

• You are at least eighteen (18) years of age.
• You have the authority to bind the business entity you represent.
• All registration and account information you provide is accurate, current, and complete.
• You are responsible for maintaining the confidentiality of your login credentials and all activity occurring under your account.

4. Customer Responsibilities and Legal Compliance

4.1 Compliance With Laws

You are solely responsible for ensuring that your use of the Services complies with all applicable laws, regulations, and industry standards, including but not limited to:

• The CAN-SPAM Act
• The Telephone Consumer Protection Act (TCPA)
• CTIA Messaging Principles and Best Practices
• GDPR, CASL, PECR, and other applicable international privacy and anti-spam laws
• Carrier and provider policies

4.2 Consent Requirements

• You have obtained valid, lawful, and documented consent from each recipient prior to sending any email or SMS message.
• You do not upload, purchase, rent, scrape, or otherwise use third-party contact lists.
• You maintain verifiable records of consent, including the method, date, and source of opt-in.
• ReforgeData may require proof of consent at any time.

5. Prohibited Activities

You may not use the Services to:

• Send unsolicited or unlawful messages
• Use misleading sender identities or subject lines
• Circumvent unsubscribe or opt-out mechanisms
• Engage in phishing, fraud, malware distribution, or deceptive practices
• Violate carrier rules, provider policies, or applicable law

ReforgeData reserves the right to suspend or terminate accounts engaged in prohibited activities without prior notice.

6. Third-Party Service Providers

ReforgeData integrates with third-party providers, including Twilio for SMS/MMS delivery and Mailgun for email delivery.

You acknowledge and agree that:

• Message delivery is subject to third-party approval, filtering, and policies.
• ReforgeData does not control delivery outcomes or provider decisions.
• Third-party providers may independently suspend, throttle, or restrict service.

7. Free Trial Terms and Usage Charges

7.1 Free Trial Availability

ReforgeData may offer a seven (7) day free trial to new accounts, beginning on the date of account creation. The free trial provides access to platform features but does not include free third-party delivery usage unless explicitly stated.

7.2 Usage During Trial

If, during the free trial period, you enable SMS or MMS messaging, send or attempt to send SMS, MMS, or email campaigns, or trigger automated messages, workflows, or broadcasts, third-party usage costs may be incurred.

7.3 Trial Cancellation and Charges

If you cancel your account before the end of the seven (7) day trial, and you have initiated or sent any email or SMS messages, you agree that you will be charged only for SMS and email usage incurred during the trial, including carrier or provider surcharges.

If you continue after the trial, any trial usage charges are waived and you will be billed only the monthly subscription fee for your selected plan.

7.4 No Refunds for Usage

Usage-based charges billed due to trial cancellation are non-refundable.

8. Fees and Billing

You agree to pay all applicable subscription fees, usage-based fees, and third-party delivery charges associated with your account.

Usage-based charges may include, but are not limited to:

• SMS and MMS delivery
• Email delivery
• Carrier surcharges
• Compliance or registration fees required by providers

Fees are non-refundable except as required by law.

9. Suspension and Termination

ReforgeData may immediately suspend or terminate your account if:

• You violate these Terms or applicable laws
• Required compliance or identity information is not provided
• Carrier complaints, abuse signals, or regulatory risks are detected

Termination does not relieve you of any outstanding payment obligations, including usage charges incurred prior to termination.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." REFORGEDATA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFORGEDATA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES.

TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO REFORGEDATA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless ReforgeData from all claims, damages, losses, and expenses arising from your messaging practices, violations of law or regulation, or content transmitted through the Services.

13. Governing Law

These Terms are governed by the laws of the United States and the State in which Golden Routes LLC is organized, without regard to conflict-of-law principles.

Billing and Chargeback Defense Terms

1.1 Authorization of Charges

By creating an account on ReforgeData and enabling messaging or campaign functionality, you expressly authorize Golden Routes LLC DBA ReforgeData LLC to charge your selected payment method for subscription fees associated with your selected plan; usage-based fees incurred for email, SMS, and MMS delivery; carrier surcharges, provider pass-through costs, and compliance fees; applicable taxes; and any trial usage charges as described below. This authorization applies regardless of account cancellation, provided the charges were incurred prior to cancellation.

1.2 Usage-Based Charges Are Final

All email and SMS delivery charges are usage-based, triggered at the time messages are queued or sent through third-party providers. Once usage occurs, charges are immediately incurred, non-reversible, and non-refundable. Delivery success, recipient response, or campaign performance does not affect billable usage.

1.3 Trial Usage Charges

If you initiate any email or SMS activity during the seven (7) day trial period and cancel before the trial ends, you agree that you are responsible only for usage incurred during the trial. If you continue after the trial, trial usage charges are waived and you will be billed only the monthly subscription fee for your selected plan.

1.4 Dispute Waiver for Authorized Usage

You agree not to initiate chargebacks or payment disputes for authorized subscription charges, usage-based delivery charges, or trial usage charges incurred prior to cancellation. Any disputes initiated in violation of this agreement constitute a material breach of the Terms of Service. ReforgeData reserves the right to suspend or terminate accounts associated with disputed charges, permanently disable future access, and submit this agreement, logs, timestamps, IP addresses, and acceptance records as evidence.

1.5 Evidence Retention

ReforgeData maintains records including account creation timestamps, IP addresses and device metadata, feature activation logs, message send logs, usage calculations, and acceptance of Terms and trial disclosures. These records may be provided to payment processors, card networks, and banks to contest disputes.

Plan-Specific Billing Language

All plans include platform access, CRM functionality, and compliance tooling. All plans exclude email delivery fees, SMS/MMS delivery fees, carrier surcharges, and usage is billed separately based on actual consumption.

Acceptable Use Policy (AUP)

Customers may not:

• Send messages without prior consent
• Ignore unsubscribe or STOP requests
• Use deceptive or misleading messaging
• Generate excessive complaints or carrier flags

Violations may result in throttling, suspension, or termination.

Anti-Spam and Messaging Policy

Customers must:

• Include a valid physical mailing address in emails
• Provide a functional unsubscribe mechanism
• Obtain express consent for SMS messaging
• Honor opt-out requests immediately

Privacy Policy

ReforgeData collects and processes data to provide and operate the Services, enforce compliance and prevent abuse, and meet legal and regulatory obligations. Data may be shared with providers such as Twilio and Mailgun solely for service delivery and compliance.

Data Processing Addendum (DPA)

Customer acts as Data Controller. ReforgeData acts as Data Processor.

Enterprise Compliance Addendum

Enterprise accounts may be subject to enhanced compliance review, throughput restrictions, and contractual obligations. Approval is conditional and revocable.
